Terms of service
The terms on which Joldisoft LLC licenses the Omei platform to operators — covering subscription, setup, ownership, support, liability and what happens if you leave.
01Parties and scope
These terms govern your use of the Omei platform, provided by Joldisoft LLC, a limited liability company registered in Montana, United States, with a principal address at 1001 S. Main St., Ste 600, Kalispell, MT 59901 (“Joldisoft”, “we”, “us”).
They apply to the company that subscribes to Omei (“you”, “the Operator”). Where you and Joldisoft have signed an order form or a separate master agreement, that document prevails over these terms to the extent of any conflict.
These terms do not create any relationship between Joldisoft and your riders or drivers. Your relationship with them is yours alone, governed by the terms you publish in your own apps.
02What we provide
A subscription to the Omei platform: a customer application, a driver application, an administration panel and a public website, branded to your identity and hosted on infrastructure we operate and maintain.
The modules available to you are set by your plan. Configuration — vehicle categories, fare and commission rules, zones, languages, currencies and payment gateways — is included on every plan. Bespoke feature development is available as a Custom engagement and is scoped and quoted separately.
- Hosting, monitoring and maintenance of the platform.
- Platform updates and fixes released during your subscription.
- Support at the level stated for your plan.
- Compilation and submission of your branded applications to the app stores.
03What we do not provide
Joldisoft is a software vendor. We do not operate a transport service, employ or contract your drivers, hold your passengers' funds, or accept liability for what happens on a trip arranged through your platform.
We do not obtain your operating licences, and we do not advise on whether your business is lawful in your jurisdiction. Transport licensing, tax registration, insurance and driver vetting are your responsibility as the Operator.
04Fees and payment
Your subscription fee is the published monthly price for your plan, charged monthly in advance. A one-time setup fee of $1,000 is payable before implementation begins and is non-refundable once configuration has started.
Joldisoft takes no share of your revenue. We do not charge per trip, per driver or per transaction, and your commission from your drivers is entirely yours.
- Fees are exclusive of any applicable taxes.
- Third-party costs — developer program fees, maps, SMS and payment gateway charges — are billed to you directly by those providers and are not marked up by us.
- We give at least sixty days' written notice before any change to your subscription price.
- Persistent non-payment may lead to suspension after written notice and a reasonable opportunity to cure.
05Ownership
You own your brand, your app store listings, your merchant and API accounts, and all rider, driver, trip and transaction data generated on your platform. Those accounts are registered in your company's name, and any access we hold to them is granted by you and revocable by you.
Joldisoft owns the Omei platform, its source code and all associated intellectual property. Your subscription grants you a non-exclusive, non-transferable right to use it for your own operation while your subscription is current. It does not transfer ownership of the software, and it does not permit resale or sublicensing without our written agreement.
06Your obligations
Running a mobility platform carries real-world responsibility. As the Operator you are accountable for the service your customers receive and for the lawfulness of your operation.
- Hold the transport licences and insurance your jurisdiction requires.
- Vet, onboard and supervise your own drivers, including any background checks required locally.
- Publish your own rider and driver terms and your own privacy notice.
- Keep your account credentials secure and your administrator list current.
- Provide brand assets, developer accounts and gateway credentials promptly during implementation.
- Not use the platform for unlawful activity, or attempt to reverse-engineer or copy it.
07Implementation timelines
Our published two-week launch is a target that assumes you supply brand assets, developer accounts and gateway credentials in the first days of the engagement. App store review times are set by Apple and Google and are outside our control.
Where a delay is caused by outstanding items on your side, the timeline extends accordingly. We will tell you in writing which item is blocking, as it happens rather than afterwards.
08Support and availability
Support is provided at the level stated for your plan. We aim for high availability and monitor the platform continuously, but only the Scale plan carries a contractual service level agreement with defined targets and remedies.
Planned maintenance is notified in advance and scheduled to minimise disruption to live operations.
09Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.
Subject to that, and to the maximum extent permitted by law, Joldisoft's total aggregate liability arising out of or in connection with these terms is limited to the fees you paid us in the twelve months preceding the claim. We are not liable for lost profits, lost revenue, lost business or indirect or consequential loss.
We are not liable for the acts or omissions of your drivers, for incidents occurring during trips arranged on your platform, or for failures of third-party services such as payment gateways, mapping providers or app stores.
10Term, termination and exit
Subscriptions run monthly unless your order form states otherwise, and either party may terminate with thirty days' written notice. We may suspend or terminate for material breach that is not cured within thirty days of written notice.
On termination we export your rider, driver, trip and transaction data to you in a standard format on request. The accounts you own — store listings, gateways, API keys — are already in your name and simply remain with you. There is no exit fee. Your right to use the platform ends, and we will remove our access to your accounts.
11Changes, governing law and disputes
We may update these terms; material changes are notified at least thirty days before they take effect, and continued use after that date constitutes acceptance.
These terms are governed by the laws of the State of Montana, United States, without regard to its conflict-of-laws rules, and the courts of that state have exclusive jurisdiction. We ask that you raise any dispute with us directly first — nearly everything is resolved that way.
